1. How are dividends paid?
Dividends on shares of Keramin JSC are paid in accordance with the decisions of the General Meetings of Shareholders. Dividends are paid by transferring funds to current accounts (card accounts).
The shareholder is obliged to inform the Company and the depository in written form about data change, including the provision of the necessary updated passport and address data, as well as bank account details, which must be effective on the date of determination of persons eligible to receive dividends within 10 days.
2. Who is eligible to receive divedends?
The persons eligible to receive dividends are the persons included in the list, which is compiled under the data of the same register of shareholders, on the basis of which was made a list of persons entitled to participate in the General Meeting of Shareholders, which made the decision to pay the corresponding dividends.
3. Who can make proposals on the agenda of the General Meeting of Shareholders?
According to the Charter of Keramin JSC: proposals on the inclusion of issues on the agenda of the Annual General Meeting of Shareholders and on the nomination of candidates to the Supervisory Board and the Audit Commission have the right to make the shareholders (shareholder), which together hold two or more percent of the voting shares of the Company, not later than fifteen days after the end of the reporting year.
Such a proposal should contain the surname, given name and patronymic name (if any) of the individual or the name of the juristic person, the number of votes owned by him at the General Meeting of Shareholders of the Company, the wording of each of the issues proposed on the agenda, surname, given name and patronymic name of each proposed candidate, name of the body of the Company for election to which it is proposed, and also it should contain the wording of the draft decision on each of the proposed issues. The proposal should be signed by the persons who submitted it.
The inclusion on the agenda of a proposal to nominate candidates to the elected bodies of the Company is carried out with their written consent. Such consents should be attached to the proposal to include issues on the agenda of the General Meeting of Shareholders.
4. Receiving information by shareholders.
According to the Charter of Keramin JSC, the shareholders of the Company are provided with the information contained in the documents of the Company within ninety days from the date of their appeal. The shareholders of the Company may familiarize themselves with information about the Company directly in the Company or receive this information by postal service.
5. Who is the depository of Keramin JSC.
Keramin JSC, as the issuer, concluded the deposit agreement with BPS – Sberbank JSC (seat: Minsk, Mulyavin Blvd. 6, VAT number 100219673).
6. How to know if I am a shareholder of Keramin JSC? Which document will indicate this?
In accordance with the legislation of the Republic of Belarus, recording the rights to securities (that is, to whom the shares belong) is carried out by a professional securities market participant – the depository. The document proving that the person is a shareholder of Keramin JSC will be the statement of the securities account issued by the depositary. The statement of the securities account is delivered to the shareholder on the basis of an identity document (passport, residence card).
7. How to register the rights for inherited shares of Keramin JSC?
The documents serving as the basis for the transfer of ownership of shares of Keramin JSC are a certificate of inheritance issued by a notary's office, or a court decision (if the deadline for accepting the inheritance is missed). To determine the composition of the inheritance you need to contact the notary's office. The notary makes a request to the depositary about the number of shares owned by the testator and the account number to which the dividends were transferred. After receiving a certificate of inheritance, you need to apply to the depository with this certificate and passport to renew the ownership of the shares. If you have a bank account, then also provide the depository and Keramin JSC with your bank account details. If you don’t have a bank account, you should open it and inform the depositary and Keramin JSC about this.
