Concerning the process of winding-up of the dependent business company

Keramin JSC (seat: Serova str., 22, office 1), guided by the clause 19.1. of the Instructions on the procedure for disclosing information on the securities market, approved by resolution of the Ministry of Finance of the Republic of Belarus dated 13.06.2016 No. 43 “On disclosing information on the securities market” (hereinafter the “Instruction”), hereby informs that in relation to the Trading House “Keramin-Ukraine” CJSC (resident of Ukraine, seat and mail address: Ukraine, Dnipropetrovsk Region, town settlement Yubileiny, Magistralnaya str., 34), which is a dependent company of Keramin JSC, bankruptcy procedure have been executed since July 2013.

By virtue of a decree of the Economic Court of Dnipropetrovsk Region dated December 13, 2017, the bankruptcy procedure was completed by liquidating the debtor with the exception of the Unified State Register of Legal Entities, Individual Entrepreneurs and Public Associations (entry made on 01.19.2018 No. 12031170018001440 on the termination of the legal entity of Trading House “Keramin-Ukraine” CJSC in connection with its declaration as bankrupt). Prior to the entry into force of the decision, the creditor (PJSC Delta Bank) filed an appeal dated December 18, 2017 No. 23.1/884.

On February 15, 2018, by the resolution of the Economic Court of Appeal of Dnipropetrovsk, the appeal was dismissed and the court ruling dated December 13, 2017 was left unchanged. In accordance with part 2 of art. 241 and art. 284 of Code of Commercial Procedure of Ukraine, the court ruling dated December 13, 2017 came into legal force on February 15, 2018.

On February 27, 2018 Delta Bank PJSC filed a cassation appeal of the creditor (outgoing No. 23.1/1050) against the court ruling dated December 13, 2017 and the act of the Economic Court of Appeal of Dnipropetrovsk dated February 15, 2018.

The meeting is scheduled on 06.06.2018.

The original of the ruling of the Economic Court of Appeal dated February 15, 2018 was received by mail of Keramin JSC on February 27, 2018.

In view of the lengthy process of exchange of documents with state courts of Ukraine, considering the availability of a cassation appeal, and the existing probability of approval of the cassation appeal dated February 27, 2018 and the adoption of a resolution to cancel the court ruling dated December 13, 2017 and the appellate decision dated February 15, 2018 and referral the case to reconsideration for the continuation of the liquidation procedure (clause 3 of the article 119 of the Code of Commercial Procedure of Ukraine),  as well as the absence in the Instructions of a regulated procedure for disclosing information on the cancellation of previously disclosed information on liquidation, taking into account the peculiarities specified by the bankruptcy procedure, Keramin JSC, as an issuer, will disclose information on the liquidation of the Trading House “Keramin-Ukraine” CJSC after completion of all stages of appeal against the judgement of the court (authorized body) that made a decision on liquidation according to the legislation of Ukraine.

Keramin JSC, as the issuer, concluded the deposit agreement with the BPS–Sberbank JSC (seat: Minsk, Mulyavin Blvd., 6, VAT No. 100219673).
